Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of iCoderAgent — the macOS application, this website, and any related services (together, the "Service") — operated by the iCoderAgent team ("we", "us", "our"). By downloading, installing, or using the Service, or by purchasing a subscription, you agree to be bound by these Terms. If you don't agree, don't use the Service. You must be at least 18 years old to use the Service.

2. What the Service does

iCoderAgent is a native macOS coding agent that plans, writes, edits, and runs code on your machine, using AI models that you connect via your own API key ("Bring Your Own Key" / BYOK). We do not host or operate the underlying AI models ourselves.

3. Third-party AI providers (BYOK)

When you connect an AI provider (e.g. Anthropic, OpenAI, xAI, or others) using your own API key, your use of that provider is governed entirely by that provider's own terms of service, pricing, and privacy policy — not ours. You are solely responsible for: (a) any costs you incur with that provider, (b) complying with that provider's usage policies, and (c) whatever that provider does with data you send it (including your code and prompts) once it leaves your machine. We have no visibility into and no control over that relationship.

4. AI-generated output and running code automatically

AI-generated code, suggestions, and explanations can be wrong, insecure, or inappropriate for your use case — review anything the agent produces before relying on it, especially for production or security-sensitive work. iCoderAgent can also execute shell commands, edit files, and run other actions on your machine on your behalf, including with your explicit approval for higher-risk actions. You are responsible for reviewing and approving what the agent does, and you use any auto-execution features entirely at your own risk. We are not liable for data loss, corrupted files, or unintended system changes resulting from actions the agent took, whether or not you approved them.

5. Accounts and license keys

Paid plans are activated with a license key tied to your subscription. Keep it confidential — you're responsible for activity under your license, and we may suspend a license we reasonably believe is being shared or abused beyond normal personal/team use.

6. Payment, subscriptions, and cancellation

Paid plans are billed on a recurring basis (monthly, unless stated otherwise) through our payment processor, Paddle.com, which acts as merchant of record for your purchase — Paddle, not us, handles payment processing, invoicing, and applicable sales tax/VAT. Fees are non-refundable except as described in our Refund Policy or as required by law. You can cancel anytime; your plan remains active through the end of the current billing period and won't renew after that. We may change pricing for future billing periods with reasonable advance notice.

7. Acceptable use

Don't use the Service to build or distribute anything illegal, to attack or abuse third-party systems, to circumvent the security or rate limits of any AI provider or service the app connects to, or to reverse-engineer the app for the purpose of building a competing product. We may suspend access for clear abuse.

8. Your code and content

You own your code and content. We don't claim any rights to it, and we don't use it to train any models. Your project files stay on your own machine — normal app usage doesn't transmit your source code to our servers (AI requests go directly from your device to the provider you've configured, using your own credentials). 9. Feedback

If you send us feedback or suggestions about the Service, we may use them without any obligation to compensate you.

10. Service changes and termination

We may modify, suspend, or discontinue any part of the Service at any time. We may suspend or terminate your access for violating these Terms. You may stop using the Service at any time.

11. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including as to uptime, accuracy, or fitness for a particular purpose.

12. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service — including damages related to AI-generated code, executed commands, data loss, or third-party AI provider costs, outages, or misuse of your data. Our total liability for any claim arising from these Terms or the Service is limited to the amount you paid us in the 6 months before the claim arose.

13. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law principles, unless a different governing law is required by applicable consumer-protection law in your jurisdiction.

14. Changes to these Terms

We may update these Terms from time to time; continued use of the Service after an update means you accept the revised Terms.
